Membership Agreement

This Membership Agreement ("Agreement") is entered into between Global Peace Project, Inc. ("Company," "we," "us," or "our") and the individual purchasing or using a membership ("Member," "you," or "your").

By purchasing, accessing, or using a Global Peace Project membership, you agree to be bound by this Agreement. If you do not agree to these terms, do not purchase or use a membership.

1. About Global Peace Project

Global Peace Project is a membership-based organization dedicated to promoting peace, understanding, education, dialogue, personal development, and community engagement through digital content, events, programs, and other member benefits.

2. Eligibility

To become a Member, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater).

  • Have the legal capacity to enter into binding contracts.

  • Not be prohibited from receiving services under applicable law.

By registering, you represent and warrant that you meet all eligibility requirements.

Memberships are not available to individuals under 18 years of age. The Company does not knowingly permit anyone under 18 to register for, purchase, or use a membership, regardless of parental or guardian consent. If the Company becomes aware that a membership has been created by or on behalf of a person under 18, the Company may immediately suspend or terminate the membership without refund.

3. Membership Benefits

Membership may include access to:

  • Exclusive articles, videos, and educational content

  • Member-only newsletters

  • Online community features

  • Virtual events and discussions

  • Special projects and initiatives

  • Early access to programs and resources

  • Additional benefits announced from time to time

Membership benefits may be modified, added, or removed at the Company's discretion with reasonable notice to active members.

4. Membership Fees

5. Automatic Renewal

Your membership automatically renews at the end of each billing cycle unless canceled before the next renewal date. By subscribing, you authorize the Company and its payment processor to charge your payment method on a recurring basis at the then-current membership rate. You are responsible for ensuring your payment information remains current and accurate.

6. Cancellation

You may cancel your membership at any time by:

  • Logging into your account and navigating to account settings; or

Upon cancellation:

  • Future renewals will stop.

  • You will retain access to membership benefits through the end of your current paid billing period.

7. Refund Policy

Unless otherwise required by applicable law:

  • Membership fees are non-refundable.

  • No refunds will be issued for partially used billing periods.

8. Member Responsibilities

Members agree to:

9. Community Standards

Members may not:

  • Harass, threaten, bully, or abuse other members or Company staff.

  • Share member-only content outside the platform without written authorization.

  • Use the platform for unsolicited commercial solicitation or spam.

  • Engage in any conduct that violates the rights of others.

Violation of these standards may result in immediate suspension or termination of membership without refund.

10. Intellectual Property

All content provided through Global Peace Project — including but not limited to articles, videos, graphics, logos, branding, training materials, and publications — is owned by the Company or its licensors and is protected by applicable intellectual property laws.

Members receive a limited, personal, non-exclusive, non-transferable license to access content for personal, non-commercial use only during their active membership. This license terminates upon cancellation or termination of membership.

No content may be copied, reproduced, distributed, sold, modified, or publicly displayed without prior written permission from the Company.

11. User-Generated Content

If members submit comments, suggestions, testimonials, or other content to Company platforms:

  • The member retains ownership of their content.

  • The member represents that they own or have the right to submit such content.

  • The member grants the Company a worldwide, perpetual, royalty-free, sublicensable license to use, display, reproduce, adapt, and publish that content in connection with Company operations and promotions.

The Company reserves the right to remove any user-generated content at its sole discretion without notice.

12. Privacy

By becoming a member, you consent to the collection and use of information as described in the Privacy Policy. We will never sell your personal data to third parties. 13. Suspension and Termination

If the Company terminates a membership without cause, the member will receive a pro-rated refund for the unused portion of their current billing period. No refund will be issued for termination due to violation of this Agreement.

14. Disclaimer of Warranties

Membership services are provided on an “as-is” and “as-available” basis without warranties of any kind. The Company makes no guarantees regarding:

  • Uninterrupted or error-free availability of services

  • Specific outcomes or results from participation

  • Accuracy of third-party information or content

  • Fitness of services for any particular purpose

To the fullest extent permitted by applicable law, all express, implied, and statutory warranties are disclaimed.

15. Limitation of Liability

To the maximum extent permitted by applicable law, the Company and its owners, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from membership use, including loss of data, profits, or goodwill.

The Company's total cumulative liability for any claim arising out of or relating to this Agreement shall not exceed the total amount paid by the member during the twelve (12) months immediately preceding the claim.

16. Indemnification

Members agree to indemnify, defend, and hold harmless the Company, its owners, officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) resulting from:

  • Violation of this Agreement

  • Improper or unauthorized use of membership services

  • Violation of any applicable law or third-party rights

  • Any user-generated content submitted by the member

17. Force Majeure

The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, government actions, internet outages, cyberattacks, power failures, or third-party service disruptions. In such events, the Company will use commercially reasonable efforts to resume services as soon as practicable.

18. Dispute Resolution

Informal Resolution: Before initiating any formal dispute, you agree to contact us at [Insert Email] and attempt to resolve the issue informally. We will attempt to resolve the dispute within 30 days of receiving notice.

Arbitration: If the dispute is not resolved informally, any controversy or claim arising out of or relating to this Agreement shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in New York, NY, or via remote hearing. The arbitrator's decision shall be final and binding.

Exceptions: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. Nothing in this section prevents you from filing a complaint with a consumer protection agency.

Class Action Waiver: You agree to resolve disputes with the Company only on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

19. Changes to Membership Services

We may modify, discontinue, improve, or replace any feature, service, benefit, or program at any time. We will provide at least 14 days' notice of material changes to existing members via email or prominent notice on our website.

20. Changes to This Agreement

We may update this Agreement from time to time. Updated versions will be posted on our website with a revised effective date. We will notify active members of material changes via email. Continued use of membership services after the effective date of updates constitutes acceptance of the revised Agreement.

21. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

22. Waiver

The Company's failure to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of the Company to be effective.

23. Assignment

The Company may assign or transfer this Agreement, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets. You may not assign or transfer this Agreement, or any rights or obligations under it, without the Company's prior written consent.

24. Entire Agreement

This Agreement, together with the Privacy Policy and any other policies incorporated by reference, constitutes the entire agreement between you and the Company with respect to your membership and supersedes all prior agreements, representations, and understandings.

25. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in New York County, New York.
